![]() (5) Such Participants gross misconduct, gross negligence, intentional violation of a written policy of the Company or intentional violation of a fiduciary duty to the Company. (4) Such Participants unauthorized use or disclosure of the Companys material confidential information, material trade secrets or material proprietary information or (3) Such Participants intentional and material violation of any statutory duty owed to the Company (2) Such Participants attempted commission of, or participation in, a fraud or act of dishonesty against the Company that results in (or might reasonably result in) material harm to the Company (1) Such Participants conviction of, or plea of guilty or no contest with respect to, (i) any crime involving fraud, dishonesty or moral turpitude, (ii) any felony under the laws of the United States or any state thereof, or (iii) any criminal law of a foreign jurisdiction which could result in imprisonment for more than one year (d) Cause means, with respect to a Participant, the occurrence of one or more of the following: ![]() (c) Board means the Board of Directors of the Company.
